1. Acceptance of Terms
PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE ACCENTU INC. PLATFORM. BY ACCESSING OR USING THE ACCENTU WEBSITE, PLATFORM, OR ANY COURSE OFFERED THROUGH IT, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE.
If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a binding legal agreement between you (“Student” or “you”) and ACCENTU INC., a New York S-corporation (“AccentU,” “we,” “us,” or “our”).
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law to use the Service. By accepting these Terms, you represent and warrant that:

you are at least 18 years of age;
-
you have the legal right, authority, and capacity to enter into these Terms;
-
all information you provide is accurate, current, and complete; and
-
your use of the Service does not violate any applicable law or regulation.
3. Definitions
As used in these Terms:
-
“Service” means the AccentU website (https://www.platform-accentu.com), online learning platform, courses, intensives, materials, and any related features or content.
-
“Course” means the structured American accent training program offered by AccentU, including its modules, video lessons, audio materials, assignments, and supplemental resources.
-
“Module” means a discrete unit of Course content corresponding to a specific topic, which may include recorded video lessons, assignments, handouts, live Q&A sessions, and personalized feedback, depending on the Plan selected.

“Plan” means one of the three enrollment tiers: SELF-PACED, SUPPORT+, or INDIVIDUAL.
-
“Pre-School Intensive” means the 10-day standalone intensive program offered separately from the main Course.
-
“Student Account” or “Personal Dashboard” means your individual, password-protected access portal on the AccentU platform.
-
“Content” means all text, audio, video, images, lesson materials, presentations, and other materials provided through the Service.
-
“User Content” means any audio recordings, submissions, feedback responses, or other materials you upload or generate through the Service.
-
“AccentU Intellectual Property” means the Course, all Content, the AccentU brand, trademarks, domain name, platform design, and all other works authored or owned by AccentU.
4. Description of Service
AccentU offers online accent-reduction training focused on American English pronunciation. The Service is delivered remotely through our platform.
4.1 Available Plans
Three Plans are available:
-
SELF-PACED: Self-directed access to all recorded modules for the Course access period.
-
SUPPORT+: Recorded modules plus scheduled group Q&A sessions, personal feedback, and live lectures.
-
INDIVIDUAL: All SUPPORT+ features plus one-on-one coaching sessions.
Current pricing, Plan contents, and availability are published at https://www.platform-accentu.com/pricing and may be updated from time to time.
4.2 Course Access Period
Upon activation of your Plan, you will have access to your Student Account and Course materials for four (4) months (“Access Period”). You have up to one (1) year from the date of payment confirmation to activate your Plan and begin the Access Period.
4.3 Pre-School Intensive
The Pre-School Intensive is a 10-day program available for separate purchase. Its specific terms, schedule, and pricing are published on the Site.
4.4 Seat Reservation
A Seat Reservation fee may be paid to lock in the then-current Plan price before a cohort opens. The full Plan price must be paid within ten (10) calendar days of the reservation (or such other period as we specify at time of reservation). Seat Reservation fees are non-refundable except where we cannot accommodate you due to capacity constraints, in which case a full refund will be issued within thirty (30) days.
4.5 Schedule Changes
AccentU reserves the right to modify Module scheduling, course sequence, and supplemental materials at any time for pedagogical reasons. Such changes do not constitute a material modification of these Terms and do not entitle you to a refund.
5. Account Registration
To access the Service, you must create a Student Account by providing:

your first and last name;
-
a valid email address;
-
a phone number; and
-
optionally, a Telegram or Instagram handle for communication.
You agree to provide accurate, current, and complete information and to update it promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at reply.accentu@gmail.com if you suspect unauthorized access.
Your Student Account is personal and non-transferable. You may not share your login credentials or allow any other person to access Course content through your account. Violations may result in immediate account termination without refund.
6. Fees and Payment
6.1 Pricing
All fees are stated and charged in United States Dollars (USD). Current fees for each Plan are displayed on the Site at the time of purchase.
6.2 Payment Methods
We accept payment via:
-
Credit or debit card (processed through Stripe);
-
Zelle (bank transfer); and
-
PayPal (where available).
By providing payment information, you authorize AccentU to charge the applicable fee through your selected payment method.
6.3 Payment Processors
Payment processing for card transactions is handled by Stripe, Inc. Your payment data is subject to Stripe’s Privacy Policy and Terms of Service. AccentU does not store full card numbers. Security, confidentiality, and other conditions of each payment method are governed by your agreement with the respective payment provider and are outside the scope of these Terms.
6.4 Transaction Fees
You are responsible for any transaction fees, foreign exchange fees, or other charges imposed by your bank or payment provider in connection with your purchase.
6.5 Payment Confirmation
Your Plan is not activated until payment is confirmed as received by AccentU. AccentU is not responsible for delays or failures caused by third-party payment processors.
7. Refund Policy
7.1 Refund Eligibility Window
You may request a full refund within fourteen (14) calendar days of your payment date, provided that you have not yet activated your Plan.
To activate your Plan and begin accessing Course materials, you must complete an explicit activation step, which includes selecting a “Begin Course” option. Once you click “Begin Course” (or any similar activation mechanism) and gain access to any Course materials, you expressly waive any right to cancel or receive a refund, to the fullest extent permitted by applicable law.
For the avoidance of doubt:
-
Simply creating an account or logging into the platform does not constitute activation;
-
Activation occurs only upon completion of the above-described affirmative step;
-
After activation, no refunds will be issued, regardless of usage level or completion status.
7.2 How to Request a Refund
To request a refund, send an email from the address used at registration to reply.accentu@gmail.com with the subject line “Refund Request—[Your Full Name]”. Your request must include:

your full legal name;
-
the email address used at registration;
-
the date of purchase; and
-
the reason for your refund request.
7.3 Processing
We will acknowledge your request within three (3) business days and issue a decision within ten (10) calendar days of receipt. Approved refunds will be credited to your original payment method within thirty (30) calendar days of approval, subject to deduction of:
-
the value of any Course materials or Modules made available to you before the refund request; and
-
processing fees charged by payment providers (e.g., Stripe’s non-refundable transaction fee), if any.
7.4 Discounted Purchases
Fees paid under a promotional discount or special offer are non-refundable.
7.5 Pre-School Intensive
Fees for the Pre-School Intensive are refundable within fourteen (14) calendar days of purchase if the Intensive has not yet begun. No refund is available after the Intensive start date.
7.6 Course Freeze / Pause
Students on the SUPPORT+ and INDIVIDUAL Plans may request a pause (“Freeze”) of their Access Period, which carries a fee calculated at the time of request. Students on the SELF-PACED Plan may also request a Freeze for a fee, for a period of up to four (4) months.
8. Intellectual Property
8.1 Ownership
All AccentU Intellectual Property — including the Course, all Modules, audio and video lessons, live sessions, presentations, handouts, website design, trademarks, and the AccentU name and logo — is owned exclusively by AccentU Inc. and is protected by United States copyright law (17 U.S.C. §101 et seq.), trademark law, and other applicable intellectual property laws.
8.2 Limited License to You
Subject to your compliance with these Terms and payment of applicable fees, AccentU grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Course materials solely for your own personal, non-commercial learning purposes during the Access Period.
8.3 Restrictions
You may not, without AccentU’s prior written consent:
-
copy, reproduce, download, record, or capture any Course content (video, audio, text, or otherwise), in whole or in part;
-
distribute, resell, sublicense, publicly display, or transmit any Course content;
-
transcribe, translate, or convert audio or video materials to any other format for distribution;
-
use Course materials to create competing courses, instructional programs, seminars, or educational products for third parties;
-
share your Student Account credentials or allow any other person to access your account; or
-
circumvent or tamper with any technical protection measures on the Site or platform.
8.4 Permitted Short-Form Reference
Notwithstanding Section 8.3, you may share video or audio excerpts of up to thirty (30) seconds from Course materials on social media, messaging apps, or personal websites solely to review, recommend, or provide feedback about the Course, provided you clearly attribute the content to AccentU and include the Course name.
8.5 Your User Content
By submitting audio recordings, written responses, or other User Content through the platform, you grant AccentU a royalty-free, worldwide, non-exclusive, perpetual license to use, reproduce, display, and distribute your User Content solely for the purposes of (a) delivering and improving the Service and (b) marketing AccentU, subject to the consent requirements in Section 8.6.
8.6 Use of Your Name, Voice, and Likeness
If AccentU wishes to use your name, voice recordings, image, or testimonials for marketing or promotional purposes beyond the Service itself, we will obtain your separate, express written consent before doing so. Nothing in these Terms constitutes blanket consent to such use.
8.7 Prohibited Modifications
You may not modify, adapt, translate, reverse-engineer, or create derivative works based on the Course or any Course materials.
8.8 Copyright Infringement Remedies
Unauthorized copying, distribution, or use of AccentU’s copyrighted materials may result in civil and criminal penalties under the US Copyright Act, including statutory damages ranging from $750 to $30,000 per work infringed (17 U.S.C. §504(c)), and up to $150,000 per work for willful infringement. AccentU reserves all rights to seek injunctive relief and full compensatory damages.
8.9 DMCA Notice
AccentU respects intellectual property rights. If you believe any content on the Service infringes your copyright, please send a notice complying with 17 U.S.C. §512(c)(3) to: [DMCA AGENT NAME], AccentU Inc., [ADDRESS], [EMAIL]. Include: (i) identification of the copyrighted work; (ii) identification of the infringing material; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement of accuracy and authority, signed under penalty of perjury.
9. User Conduct
You agree not to:
-
use the Service for any unlawful purpose or in violation of any federal, state, or local law;
-
harass, abuse, or harm AccentU, its instructors, or other students;
-
post or transmit false, misleading, or defamatory statements about AccentU or its personnel;
-
attempt to gain unauthorized access to the Service, other accounts, or AccentU’s systems;
-
interfere with or disrupt the integrity or performance of the Service; or
-
use the Service in any manner that could damage, disable, or impair the platform.
AccentU reserves the right to terminate your account immediately and without refund if you violate this Section.
10. Privacy and Data
Our collection and use of your personal information is governed by our Privacy Policy, available at [INSERT PRIVACY POLICY URL], which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
10.1 Data We Collect
We collect information you provide at registration (name, email, phone number, and optional social handles), payment information (processed by Stripe), and usage data generated through your interaction with the platform.
10.2 How We Use Your Data
We use your personal information to:

create and manage your Student Account;
-
deliver and administer the Course;
-
process payments and communicate about your enrollment;
-
respond to refund requests and support inquiries; and
-
send you transactional and, with your consent, marketing communications.
10.3 Marketing Communications
If you opt in during registration or subsequently, we may send you promotional emails about AccentU courses and offerings. Every marketing email will include an unsubscribe link. You may opt out at any time.
10.4 Data Security
AccentU implements reasonable technical and organizational measures to protect your personal information against unauthorized access, disclosure, or destruction, in accordance with the New York SHIELD Act (NY General Business Law §899-bb).
10.5 Data Deletion
You may request deletion or anonymization of your personal data by emailing reply.accentu@gmail.com. We will process such requests within thirty (30) days, subject to any legal obligations to retain records.
10.6 Third-Party Disclosure
We do not sell your personal information. We may share it with service providers (e.g., Stripe, email platforms) that assist us in operating the Service, and as required by law or legal process.
11. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACCENTU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ACCENTU DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY PARTICULAR LEARNING OUTCOME, ACCENT IMPROVEMENT, OR RESULT WILL BE ACHIEVED; OR (C) THE CONTENT IS ACCURATE OR CURRENT AT ALL TIMES.
You acknowledge that accent training outcomes depend on individual effort, practice, and aptitude, and that no particular result is guaranteed.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ACCENTU AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL ACCENTU’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT YOU PAID TO ACCENTU INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
13. Indemnification
You agree to indemnify, defend, and hold harmless AccentU Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

your violation of these Terms;
-
your use of the Service in a manner not authorized by these Terms;
-
your infringement of any intellectual property or other rights of AccentU or any third party; or
-
your User Content.
14. Term and Termination
14.1 Term
These Terms are effective from the date you create a Student Account and remain in effect until terminated.
14.2 Termination by You
You may cancel your enrollment by written notice to reply.accentu@gmail.com at any time. Your access to the Service will continue until the end of your current Access Period. Cancellation does not entitle you to a refund except as provided in Section 7.
14.3 Termination by AccentU
We may suspend or terminate your account immediately, without prior notice or liability, if:
-
you breach any provision of these Terms;
-
you engage in conduct that we determine, in our reasonable discretion, is harmful to AccentU or other students; or
-
we are required to do so by law.
Upon termination for cause, your access to the Service will end immediately and no refund will be issued.
14.4 Inactivity
If you have not logged into your Student Account, completed any Course activity, or responded to our communications for a period of one (1) consecutive month without prior notice, we may treat your enrollment as abandoned, terminate your access, and consider the Service as having been delivered. No refund will be issued in such circumstances.
14.5 Survival
Sections 8 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), 16 (Dispute Resolution), and 17 (General Provisions) survive termination of these Terms.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, power outages, or internet service disruptions (“Force Majeure Event”).
The affected party must notify the other by email within seven (7) business days of the Force Majeure Event. Performance obligations are suspended for the duration of the event. If the Force Majeure Event continues for more than fourteen (14) calendar days, either party may terminate the enrollment by written notice, and AccentU will refund the pro-rated unused portion of your Plan fee.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles.
16.2 Informal Resolution
Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute informally. The complaining party shall send written notice describing the dispute and desired resolution to reply.accentu@gmail.com. The parties will attempt to negotiate in good faith for at least fourteen (14) calendar days after delivery of notice.
16.3 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions of arbitrability — shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in New York, New York (or by video conference if both parties agree). The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.4 Class Action Waiver
YOU AND ACCENTU AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.
16.5 Small Claims Court Exception
Notwithstanding Section 16.3, either party may bring an individual claim in a small claims court of competent jurisdiction (New York City Civil Court, Small Claims Part) if the claim qualifies.
16.6 Jury Trial Waiver
TO THE EXTENT ANY DISPUTE IS NOT SUBJECT TO ARBITRATION, YOU AND ACCENTU EACH WAIVE ANY RIGHT TO A JURY TRIAL.
16.7 Venue for Non-Arbitrable Claims
For any claim not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York.
16.8 Time Limitation on Claims
Any claim arising under these Terms must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and AccentU with respect to the Service and supersede all prior agreements, representations, and understandings.
17.2 Amendments
AccentU may update these Terms from time to time. We will post the updated Terms on the Site and update the Effective Date. For material changes, we will provide at least thirty (30) days’ advance notice by email to the address on file. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
17.3 Severability
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17.4 No Waiver
AccentU’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.5 Electronic Communications and Signatures
You agree that notices, disclosures, and other communications sent to you electronically satisfy any legal requirement that such communications be in writing, pursuant to the federal ESIGN Act and the New York Electronic Signatures and Records Act. Electronic records of your account registration and checkbox acceptance of these Terms are binding.
17.6 Assignment
You may not assign or transfer your rights or obligations under these Terms without AccentU’s prior written consent. AccentU may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to you.
17.7 Educational Disclaimer
AccentU’s services constitute skills-based coaching and informational content, not licensed educational instruction. Completion of the Course does not result in a diploma, degree, academic credit, or certification recognized by any governmental or accrediting body.
17.8 Accessibility
AccentU is committed to making its Service accessible to users with disabilities. If you have difficulty accessing any feature of the Service, please contact us at reply.accentu@gmail.com and we will work to provide reasonable accommodations.
